The U.S. Commercial Service offers an International Company Profile (ICP) service to assist with the due diligence process. It is conducted for several reasons, including confirmation that the business is what it appears to be, to avoid a bad business transaction, to gain information that will be useful for valuing assets, and defining representations and warranties and/or negotiating price concessions. The parties conducting due diligence generally create a checklist of needed information and then conduct interviews with external sources including customers, suppliers, industry experts, trade organizations, market research firms, and others. Information on accessing the ICP can be obtained by contacting the nearest U.S. Export Assistant Center.
